WTF? / Part 4 / 4.8
What is a UCC lien?

UCC lien

THE 30-SECOND ANSWER

A UCC filing is a public notice that a lender has a security interest in some or all of your business assets as collateral.

In plain English

It is filed with the state and shows up when other lenders search your business. A blanket filing covers all assets; a specific one covers named collateral such as a financed truck.

Filings remain visible until they are terminated, so old paid-off loans can still be sitting on your record.

Example

An equipment lender files a UCC on the forklift it financed. A later bank sees it during underwriting.

Why it matters

Existing filings change what the next lender is willing to do, and at what price.

COMMON MISTAKEGiving an early lender a blanket filing over everything, then finding the bank will not lend behind it.
